Welcome to Watkins Government Solutions LLC ("Watkins," "we," "us," or "our"). These Terms of Service govern general use of our website, requests for quotations, and commercial purchases from Watkins, except where a separate written agreement or applicable government contract establishes different terms.
1. About Our Business
Watkins Government Solutions LLC provides procurement, sourcing, resale, supplier coordination, and related fulfillment services to government agencies, educational institutions, businesses, and other organizations.
Products and services may be fulfilled through qualified manufacturers, distributors, suppliers, and subcontractors.
2. Quotations and Pricing
Unless otherwise stated in writing:
Quotations are subject to product availability, supplier confirmation, and the stated quotation validity period.
Prices are expressed in U.S. dollars.
Applicable taxes, shipping, handling, and other charges will be identified in the quotation or invoice when applicable.
A quotation does not guarantee inventory availability or constitute acceptance of a purchase order.
Errors in pricing or product specifications may require correction before order acceptance.
3. Order Acceptance
An order is accepted when Watkins confirms acceptance in writing or otherwise expressly agrees to fulfill it.
Orders may require verification of specifications, delivery requirements, payment terms, and supplier availability.
Watkins may decline an order before acceptance where fulfillment, legal compliance, or payment requirements cannot be satisfied.
4. Payments and Invoicing
Accepted payment methods and payment deadlines will be identified on the applicable invoice, quotation, checkout page, or written agreement.
We may accept electronic payments through Stripe, including eligible card or bank payment methods.
Customers are responsible for providing accurate billing information and using payment methods they are authorized to use.
Government purchasing-card transactions must comply with the purchasing agency's applicable policies and authorization requirements.
5. Shipping and Delivery
Delivery methods, shipping charges, estimated lead times, and delivery locations will be communicated through the quotation, order confirmation, or applicable contract.
Products may be shipped directly from manufacturers, distributors, or fulfillment partners.
Delivery estimates are not guaranteed unless expressly agreed to in writing. We will communicate material delays when reasonably practicable.
Customers should inspect shipments upon receipt and promptly report shortages, damage, or incorrect items.
6. Cancellations
Cancellation requests must be submitted as soon as possible to matthew@watkinsgovsolutions.com.
Whether an order can be canceled depends on its fulfillment status, applicable supplier restrictions, and the terms accepted for that order.
Special-order, customized, printed, made-to-order, or already-shipped products may be subject to restrictions or nonrecoverable charges, where disclosed and legally permitted.
We will advise customers of applicable cancellation conditions before confirming a requested cancellation.
7. Returns and Refunds
Customers seeking a return or refund should contact matthew@watkinsgovsolutions.com with their order or invoice number and an explanation of the issue.
Return eligibility depends on the product, its condition, applicable manufacturer or distributor policies, and the terms agreed upon at purchase.
Unless otherwise required by law or an applicable contract:
Returns require prior authorization from Watkins.
Customers should not ship items back without return instructions.
Custom, personalized, specially sourced, or nonreturnable products may not qualify for discretionary returns where disclosed before purchase.
Defective, damaged, or incorrectly supplied items will be reviewed for an appropriate remedy under applicable law, warranties, and contract terms.
Approved refunds will generally be issued to the original payment method when feasible, after the relevant return or adjustment is processed.
Any applicable restocking or return-shipping charges will be disclosed before a discretionary return is approved.
Nothing in these terms limits rights or remedies that cannot lawfully be excluded.
8. Product Specifications and Warranties
Product descriptions and specifications may be based on information supplied by manufacturers or distributors.
Customers are responsible for confirming that their requested specifications meet their intended requirements before order acceptance.
Manufacturer warranties, when applicable, are subject to the manufacturer's terms. Any additional warranty provided by Watkins must be expressly stated in writing.
9. Government Contracts and Purchase Orders
Watkins may perform under government solicitations, purchase orders, contracts, and other procurement agreements.
When a valid, accepted government contract or purchase order contains provisions that conflict with these general website terms, the applicable contract provisions will govern to the extent of that conflict.
These website terms do not supersede mandatory procurement laws, required contract clauses, or rights and remedies established by applicable government contracts.
10. Legal Compliance
Customers and Watkins must comply with applicable laws and regulations, including relevant procurement, export-control, trade, and sanctions restrictions.
We reserve the right to decline transactions that would violate applicable legal requirements.
11. Website Content
The website's text, graphics, branding, and other original content may not be reproduced or commercially exploited without appropriate authorization, except as permitted by law.
12. Limitation of Liability
To the extent permitted by applicable law, Watkins is not responsible for indirect or consequential losses arising solely from use of this website.
Nothing in these Terms excludes liability or remedies that cannot legally be excluded, or overrides obligations expressly assumed under an applicable written contract.
13. Changes to These Terms
We may revise these Terms of Service periodically. Updated terms will be published with a revised effective date.
Changes will not retroactively alter an accepted order or executed contract without an appropriate legal basis or agreement.
